Terms of Service

1. About These Terms

This website is operated by i.m. Walrus, INC., the consulting practice of Chelsea DiPilla, located at 1158 Saint Augustine Dr, Castle Hayne, NC 28429 (“Company,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern your use of this website, our booking and contact forms, our emails, and any content or resources we make available through them (together, the “Site”). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

You must be at least 18 years old to use the Site or to purchase our services.

2. Our Services

We provide operations and sales consulting and coaching to businesses and their owners, operators, and executives. Our current offers include The 3 Leaks Intensive, The Undercover Operator, ReLaunch, The Operator's Table, and The R.O.I. Circle (together, the “Services”).

The Site describes the Services in general terms. Descriptions, pricing, availability, and opening dates may change at any time without notice, and nothing on the Site is a binding offer.

Client agreements control. Each paid Service is provided under its own written agreement or enrollment terms (a “Client Agreement”). If these Terms and your Client Agreement conflict, your Client Agreement controls for that Service.

3. Consultations and Bookings

You may request a free consultation or book a session through the Site. A consultation is an introductory conversation to see whether we are a fit. It does not create a client relationship, and it is not consulting advice you should rely on to make business decisions.

We may decline or cancel any booking or enrollment at our discretion. If we cancel a paid booking before it takes place for a reason other than your breach, we will refund what you paid for that booking.

Please give us accurate information when you book, and let us know as early as you can if you need to reschedule.

4. Payments and Refunds

Prices are listed in U.S. dollars. Payments are handled by third-party payment processors, and your use of them is subject to their own terms. We do not store full payment card numbers.

Where a payment plan is offered, you authorize each scheduled payment and remain responsible for the full fee even if you stop participating. We may suspend access to a Service while a payment is overdue.

All sales are final. Except where your Client Agreement or applicable law says otherwise, fees for our Services are non-refundable once paid.

Any credit we offer toward another Service, such as applying the fee for The 3 Leaks Intensive or The Undercover Operator toward ReLaunch, applies only as described in the applicable Client Agreement, has no cash value, and is not refundable.

5. No Guarantee of Results

We share what has worked in our experience, but we cannot promise what it will do for your business. We make no representation, promise, or guarantee, express or implied, about any specific result, including results related to your revenue, profit, bookings, staff retention, or overall business performance.

Any percentage, dollar figure, timeframe, or other example on the Site or in our marketing, including any reference to increasing revenue by 20% in six months, describes past results achieved under specific circumstances. It is not typical, and it is not a promise, prediction, or guarantee of the results you will achieve. Your results depend on many factors outside our control, including your effort, your team, your market, and how you implement what we recommend. Results vary, and it is possible to see no change or a decline.

Not professional advice. We provide business consulting and coaching only. We are not attorneys, accountants, or financial advisors, and nothing on the Site or in our Services is legal, tax, financial, accounting, medical, or regulatory compliance advice. Please consult a licensed professional before acting on anything with legal, tax, or financial consequences.

6. Testimonials and Case Examples

Testimonials and case examples on the Site reflect the real experiences of the people who shared them. They are individual results, they are not typical, and they are subject to Section 5. We do not pay for testimonials unless we say so alongside the testimonial.

7. Intellectual Property

The Site and everything on it, including text, graphics, photographs, videos, downloads, frameworks, and program names, belongs to us or our licensors and is protected by copyright, trademark, and other laws. This includes the R.O.I. Method, the 3 Leaks framework, and the names ReLaunch, The 3 Leaks Intensive, The Undercover Operator, The Operator's Table, The R.O.I. Circle, and Got Ops?.

You may view the Site and use any free resources we provide for your own business. You may not copy, republish, sell, teach, or build a competing product or service from our content without our prior written permission.

If you send us feedback or suggestions, you agree we may use them without restriction or payment. We will not publish your name, business name, or likeness in our marketing without your consent.

8. Acceptable Use

When you use the Site, you agree not to:

  • Use it for any unlawful purpose or in violation of these Terms

  • Submit false information or impersonate another person or business

  • Copy, scrape, or harvest content or data from the Site by automated means

  • Interfere with the Site's security or operation, or attempt to gain unauthorized access

  • Send spam or unsolicited promotions through our forms or community spaces

We may suspend or end your access to the Site if you violate these Terms.

9. Community Spaces

Some Services include group calls, events, or online communities, such as The Operator's Table and the Got Ops? Slack community. If you take part, you agree to:

  • Treat other members with respect

  • Keep what other members share confidential, and not use it to compete with or solicit them

  • Not record group calls or events without permission

  • Not share your access with anyone else

What other members say is their own opinion and not our advice. We may remove content or members, without refund, to protect the community.

10. Third-Party Links and Tools

The Site may link to or rely on tools run by other companies, such as scheduling, payment, email, video, and messaging services. We do not control those services and are not responsible for their content, availability, or practices. Your use of them is subject to their own terms and privacy policies.

11. Disclaimers

The Site and its content are provided “as is” and “as available,” for general information only. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that its content is complete or current.

12. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, or special damages, including lost revenue, lost profits, or lost business opportunity, arising out of or related to the Site or these Terms, whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded, our total liability arising out of the Site or these Terms will not exceed the greater of the amount you paid us through the Site in the twelve months before the claim or one hundred U.S. dollars ($100). Liability for a paid Service is governed by your Client Agreement.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its owners, employees, and agents from any claims, damages, losses, or expenses, including reasonable attorneys' fees, arising out of your misuse of the Site or your violation of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. The venue for any dispute arising under these Terms is New Hanover County, North Carolina.

Before filing any claim, you agree to contact us first and give us thirty (30) days to try to resolve the issue informally.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on the Site and change the effective date above. Your continued use of the Site after an update means you accept the updated Terms.

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with our Privacy Policy and any Client Agreement, are the entire agreement between you and us about the Site.
